Scancell and Neuphoria Therapeutics announce merger agreement and financing

Scancell has announced a merger with US-based Neuphoria Therapeutics and plans to secure up to $89 million in financing to support the next stage of its lead cancer treatment programme.

The all-share merger will see Scancell acquire Neuphoria Therapeutics, creating a combined company that will continue to operate as Scancell. Subject to shareholder approval, the combined business will be listed on the Nasdaq stock exchange in the United States, alongside Scancell's existing AIM listing in London.

The transaction has been unanimously approved by the boards of both companies and is expected to strengthen Scancell's access to US investors and the wider life sciences market.

Alongside the merger, Scancell expects to secure up to $89 million through a combination of equity and debt financing. This funding will enable the company to progress its lead immunotherapy, iSCIB1+, into a global Phase 3 clinical trial for patients with advanced melanoma, a serious form of skin cancer.

Scancell's iSCIB1+ programme has already received Fast Track designation from the US Food and Drug Administration (FDA). Results from the ongoing Phase 2 SCOPE trial have shown encouraging outcomes, including 77% progression-free survival at 22 months when the treatment is used in combination with two existing immunotherapies. Further clinical data from the study is expected over the next 12 months.

The planned financing is expected to fund the Phase 3 trial through key clinical milestones, including the primary study readout anticipated in the second half of 2028, while extending the company's cash runway into 2029.

We believe the compelling data from our Phase 2 SCOPE study demonstrating benefit to patients across multiple clinical endpoints warrants pressing forward to evaluate the product in a registrational randomized study. We strongly believe this transaction creates meaningful near- and long-term value for shareholders of both companies."
